Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 2, 2023, Roland Smith resigned from his positions as Executive Chairman and a member of the Board of Directors of BRC Inc. (the “Company”). Mr. Smith’s resignation was due to urgent family medical needs and his desire to spend the vast majority of his time with his family. Mr. Smith’s resignation was not due to any disagreement with the Company on any matter related to the Company’s operations, policies or procedures.

On June 2, 2023, Katy Dickson temporarily assumed the duties of the Chairman of the Board of Directors on an interim basis, and the Company has initiated a search to fill the director vacancy resulting from Mr. Smith’s resignation.
