Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 19, 2023, Kristina Braendel (Smith), the Chief Accounting Officer of BRC Inc. (the “Company”), informed the Company of her intention to resign from her position with the Company, effective September 29, 2023, in order to pursue other opportunities. Ms. Braendel’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

Stephen Kadenacy, the Company’s Chief Financial Officer, will serve as the Company’s principal accounting officer following Ms. Braendel’s departure. Information regarding Mr. Kadenacy is set forth under Item 5.02 of the Company’s Current Report on Form 8-K filed September 11, 2023, which information is incorporated herein by reference.
